As a buyer, I signed the SPA. However, the Seller later imposed other T&C which we cant mutually reach to agreement, and Seller refuse to sign the SPA if I dont agree eith the T&C. I intended to set a deadline for Seller to sign back. If she fail to do so, can we assume the Seller abort the deal? Can I account her for all the legal fees incurred during this duration?
