It is important that you have a reliable lawyer representing you for the SPA. The lawyer will look after your interest and incorporate the clauses in your SPA. Critical terms are price, payment terms, overdue interest, list of furnitures if any, application for consent to transfer if leasehold property by Vendor, free from encumbraces of existing bank loan etc by Vendor, apportionment of payment of quit rent and assessments during release of full payment.
